Dispute Resolution
Binding Arbitration
If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA's Supplementary Procedures for Consumer Related Disputes ("AAA Consumer Rules"), both of which are available at the American Arbitration Association (AAA) website. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Consumer Rules and, where appropriate, limited by the AAA Consumer Rules. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in the State of Massachusetts, United States. Except as otherwise provided herein, the Parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.
If for any reason, a Dispute proceeds in court rather than arbitration, the Dispute shall be commenced or prosecuted in the state and federal courts located in the State of Massachusetts, United States, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction, and forum non conveniens with respect to venue and jurisdiction in such state and federal courts. Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded from these Terms.
In no event shall any Dispute brought by either Party related in any way to the Services be commenced more than one (1) years after the cause of action arose. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.
Restrictions
The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.
Exceptions to Arbitration
The Parties agree that the following Disputes are not subject to the above provisions concerning binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; and (b) any claim for injunctive relief.

The Services aim to streamline the medical documentation process and enhance productivity. While the AI features are designed to operate and produce results accurately, it is essential to note that it is a tool and is not infallible. The accuracy of the AI's output cannot be guaranteed. It should only be used as an aid and not as a sole source of medical information or decision-making. Customer shall ensure that every output produced by the AI MUST BE CRITICALLY REVIEWED AND VALIDATED BY CUSTOMER AND THE AUTHORIZED USER. Using our Services does not in any way replace professional judgment, diagnostic skills, or treatment decisions, all of which are the responsibility of the healthcare professionals using our Services. We disclaim all responsibility for the accuracy or reliability of AI outputs and Customer’s reliance on them.

Indemnification
-
Provider Indemnification.
-
Provider shall indemnify, defend, and hold harmless Customer from and against any and all losses, damages, liabilities, costs (including reasonable attorneys' fees) ("Losses") incurred by Customer arising out of any third-party claim, suit, action, or proceeding ("Third-Party Claim") alleging that any use of the Services in accordance with this Agreement infringes or misappropriates such third party's US intellectual property rights, provided that Customer promptly notifies Provider in writing of such Third-Party Claim, cooperates with Provider, and allows Provider sole authority to control the defense and settlement of such Third-Party Claim.
-
If a Third Party-Claim is made or appears possible, Customer agrees to permit Provider, at Provider's sole discretion, to (A) modify or replace the Services, or component or part thereof, to make it non-infringing, or (B) obtain the right for Customer to continue use. If Provider determines that neither alternative is reasonably available, Provider may terminate this Agreement, in its entirety or with respect to the affected component or part, effective immediately on written notice to Customer.
-
This Section 20(a) will not apply to the extent that the alleged infringement arises from: (A) use of the Services in combination with data, software, hardware, equipment, or technology not provided by Provider or authorized by Provider in writing; (B) modifications to the Services not made by Provider; or (C) Customer Data.
-
The above indemnification obligation is Customer’s sole and exclusive remedy with respect to infringement, misappropriation, or other violation of intellectual property rights.
-
-
Customer Indemnification. Customer shall indemnify, hold harmless, and, at Provider's option, defend Provider and its officers, directors, employees, agents, and affiliates from and against any Losses arising out of or relating to any Third-Party Claims that Customer Data, or any use of the Customer Data in accordance with this Agreement infringes, misappropriates, or otherwise violates such third party's intellectual property, privacy, or other rights, or Third-Party Claims arising out of or relating to (A) Customer's use of or reliance on the Services; (B) Customer Data; (C) Customer’s patients or Authorized Users or other third parties engaged by Customer (e.g., third-party systems providers with which the Services connect or interact); (D) Customer's violation of applicable law; (E) Customer's breach of these Terms, including but not limited to Customer's failure to obtain any and all authorization and consents from individuals to record or otherwise transcribe conversations with patients, and any failure to obtain authorizations or consents required under federal or state laws; (F) Customer's use of the Services in combination with data, software, hardware, equipment, or technology not provided by Provider or authorized by Provider in writing; (G) modifications to the Services not made by Provider; (H) any harmful act or omission toward any other user of the Services with whom you connected via the Services; (I) Customer’s negligence, fraud, or willful misconduct in connection with these Terms or the Services; (J) tangible damage to tangible property caused by Customer’s act or omission; provided that Customer may not settle any Third-Party Claim against Provider unless Provider consents to such settlement, and further provided that Provider will have the right, at its option, to defend itself against any such Third-Party Claim or to participate in the defense thereof by counsel of its own choice. Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.
-
Sole Remedy. THIS SECTION 20 SETS FORTH CUSTOMER'S SOLE REMEDIES AND PROVIDER'S SOLE LIABILITY AND OBLIGATION FOR ANY ACTUAL, THREATENED, OR ALLEGED CLAIMS THAT THE SERVICES INFRINGE, MISAPPROPRIATE, OR OTHERWISE VIOLATE ANY INTELLECTUAL PROPERTY RIGHTS OF ANY THIRD PARTY. IN NO EVENT WILL PROVIDER'S LIABILITY UNDER THIS SECTION 20 EXCEED $1000.

SCHEDULE A: AMA CPT END USER TERMS
This Schedule A is incorporated into the Terms of Service (the “Terms”) applicable to the Services. This Schedule A applies to the extent the Services make Licensed Content (as defined below) available to End User (as defined below), including through the Billing Codes feature of the Services. For purposes of this Schedule A: "AMA" means the American Medical Association; "Licensee" means S7Labs, LLC d/b/a MedWriter; "End User" means Customer and its Authorized Users; "Licensed Product(s)" means the Services; "Licensed Content" means CPT® codes, descriptions, and related AMA content included in the Services; "Territory" means the United States; "Agreement" means the license agreement between Licensee and the AMA; and "End User Agreement" and "the Terms" mean these Terms of Service including this Schedule A. Capitalized terms used but not defined in this Schedule A shall have the meaning given to them in the Terms. Your agreement to the terms and conditions of this Schedule A is required by the AMA to use License Content. You agree to the following:
(a) Licensed Content is copyrighted by the American Medical Association and CPT is a registered trademark of the AMA.
(b) Licensee, as a party to a license agreement with the AMA, is authorized to grant End User a limited, non-exclusive, non-transferable, non-sublicensable license for End User to use Licensed Content in Licensee’s Licensed Product(s), for the sole purpose of internal use by End User within the Territory. Upon termination or expiration of the Agreement between Licensee and AMA, Licensee shall notify End User. End User shall continue to have the right to use Licensed Content in the Licensee’s Licensed Product(s) for the remainder of year of the then-current annual release (e.g., through the end of the applicable calendar year)(“End User Tail Period”). End User’s continued use of the Licensed Content during the End User Tail Period is subject to End User’s continued compliance with all its obligations under the Terms. Upon the expiration of the End User Tail Period, the sublicense granted under the Terms shall automatically terminate.
(c) The provision of updated Licensed Content in the Licensed Product(s) is dependent on a continuing contractual relationship between Licensee and the AMA.
(d) End User is prohibited from making Licensed Content publicly available; creating derivative works (including translating) of the Licensed Content; and transferring, selling, leasing, licensing, or otherwise making available the Licensed Content, or a copy or portion of Licensed Content, to any unauthorized party, including a subsidiary, affiliate, or other legal entity, however designated, for any purpose whatsoever except as expressly permitted in this Agreement.
(e) End User expressly acknowledges and agrees to the extent permitted by applicable law, use of the Licensed Content is at End User’s sole risk and the Licensed Content is provided “as is” without warranty of any kind. The AMA does not directly or indirectly practice medicine or dispense medical services. Fee schedules, relative value units, conversion factors and/or related components are not assigned by the AMA, are not part of CPT, and the AMA is not recommending their use. The Licensed Content does not replace the AMA’s Current Procedural Terminology book or other appropriate coding authority. The coding information contained in the Licensed Content should be used only as a guide.
(f) End User is required, to the extent not already performed by Licensee on End User’s behalf, to keep records and submit reports including information necessary for the calculation of royalties payable to the AMA by the Licensee, of the same type as required of Licensee under this Agreement. End User consents to the release of such information to the AMA. End User further agrees to provide, without delay, additional information that the AMA (as a third-party beneficiary) may reasonably request, to verify the information. Licensee agrees to keep such records, submit such reports, and provide such additional information to the AMA on behalf of End User. Nothing herein shall require End User to submit or release information that would cause End User to be in violation of applicable federal or state privacy laws.
(g)U.S. Government End Users. CPT is commercial technical data, which was developed exclusively at private expense by the American Medical Association (AMA), 330 North Wabash Avenue, Chicago, Illinois 60611. This agreement does not grant the Federal Government a direct license to use CPT based on FAR 52.227-14 (Data Rights – General) and DFARS 252.227-7015 (Technical Data – Commercial Items).
(h) End User must ensure that anyone with authorized access to the Licensed Product(s) will comply with the provisions of the End User Agreement.
(i) AMA is a a third-party beneficiary of the End User Agreement.
(j) End User expressly consents to the release of its name to the AMA.
(k) The following sections of this Schedule A shall survive termination of this Schedule A: a, d, e, f, h, i, j.
SCHEDULE B: BROWSER EXTENSION AND CONNECTED ACCESS TERMS
This Schedule B is incorporated into the Terms of Service (the “Terms”) applicable to the Services. Capitalized terms used but not defined in this Schedule B have the meanings given in the Terms. This Schedule B applies to any feature of the Services that connects to, transmits data to, reads from, or takes actions within a system that Customer uses, such as an electronic health record system (each, a "Third-Party System"), whether through the Medwriter browser extension (the "Extension"), an API integration, or any other method Provider makes available now or in the future (each, a "Connector"). Connectors are part of the Services and are Provider IP. In the event of a conflict between this Schedule B and the Terms with respect to Connectors, this Schedule B controls.
CONNECTORS AUTOMATE ACTIONS RELATED TO THIRD-PARTY SYSTEMS BASED ON CUSTOMER'S CONFIGURATION AND INSTRUCTIONS, AND ACT AND OPERATE ON CUSTOMER'S BEHALF. CUSTOMER IS SOLELY RESPONSIBLE FOR ENSURING THAT EACH CONNECTOR IS CONFIGURED CORRECTLY, OPERATES AS CUSTOMER INTENDS, AND PRODUCES THE RESULTS CUSTOMER EXPECTS, INCLUDING BY TESTING IT BEFORE RELYING ON IT, MONITORING IT DURING USE, AND VERIFYING THE OUTCOME OF EVERY ACTION TAKEN IN A THIRD-PARTY SYSTEM. PROVIDER DOES NOT REVIEW, VERIFY, OR CONFIRM THE ACCURACY, COMPLETENESS, OR APPROPRIATENESS OF ACTIONS TAKEN BY A CONNECTOR OR THE RESULTS FROM USE OF ANY CONNECTOR, AND CUSTOMER BEARS ALL RISK OF ANY ACTION THAT IS INCORRECT, INCOMPLETE, DUPLICATED, DELAYED, OR NOT TAKEN.
1. Authorization. By enabling or using a Connector, Customer authorizes Provider to interact with the connected Third-Party System on Customer’s behalf. Depending on how the Connector is designed and configured, it may input, transfer, or submit data; read, collect, or store information, including the system’s structure and content, which may include PHI; or otherwise take actions within that system. These activities may occur whether or not an Authorized User is present or supervising at the time. Each Connector acts on Customer’s behalf. Information collected through a Connector is Customer Data.
2. Access methods. Depending on the Connector, access to a Third-Party System may occur through an Authorized User's browser session, through API credentials or tokens that Customer provides to Provider, or through another access method supported by the Connector on Customer’s behalf. By using or turning on the Connector, Customer authorizes Provider to use, and where applicable to store, whichever access method the Connector relies on. Customer is responsible for the accuracy and security of any credentials it provides, for keeping them current, and for all access to Third-Party Systems made using them.
3. Installed software. Subject to Customer’s ongoing compliance with the Terms (including, without limitation, this Schedule B), for the Extension and any other Connector delivered as software installed by Customer, Provider grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during the Term for its Authorized Users to install and run such software, in the form delivered by Provider, solely as necessary to use the Services for Customer's internal business purposes. Provider reserves all rights not expressly granted by the foregoing sentence. For clarity, Customer and Authorized Users’ use of such software shall comply with the restrictions and prohibitions set forth in the Terms. Upon termination of the Terms and/or the foregoing license, Customer shall immediately uninstall, remove and delete all copies of any such software from systems in its possession, custody, or control.
4. Customer responsibilities. Customer is solely responsible for (a) having the right, under its agreements with each Third-Party System provider (including any API terms) and under applicable law, to grant the authorization in Section 1 and to use each Connector with its Third-Party System; (b) providing all notices to, and obtaining all consents and authorizations from, patients and other individuals required for the collection and processing of information through Connectors; (c) the devices, browsers, network access, accounts, and Third-Party System configuration needed for Connectors to operate; (d) limiting use of Connectors to Authorized Users and preventing unauthorized access to or use of them; (e) configuring and supervising each Connector, including any instructions or settings that determine what actions it takes, and any decision to operate a Connector without an Authorized User present; and (f) all actions taken within any Third-Party System through a Connector, as though Customer had taken them directly.
5. Representations. In addition to the representations and warranties in the Terms, Customer represents and warrants that it has the right to grant the authorization in Section 1, and that its use of Connectors does not and will not violate applicable law or breach any agreement to which Customer is bound, including any agreement with a Third-Party System provider.
6. Third-Party System providers. Provider does not necessarily have a relationship with any Third-Party System provider and makes no representation or warranty regarding any Third-Party System or its provider. Provider is not responsible or liable in any manner in relation to a Third-Party System or Third-Party System provider including, without limitation, in the event a Third-Party System provider restricts, blocks, changes, or discontinues a Connector's ability to access or operate within the Third-Party System (including by changing or revoking API access), a Third-Party System changes in a way that affects a Connector, or a Third-Party System provider does not permit a Connector to access it or for Customer to grant the authorization in Section 1. No such event entitles Customer to any refund or credit or constitutes a breach of the Terms by Provider.
7. Modification. Provider may modify, suspend, or discontinue any Connector, or any part of it, at any time in its sole discretion without notice or liability.
8. No compatibility warranty. WITHOUT LIMITING SECTION 18 (DISCLAIMER) OF THE TERMS, PROVIDER DOES NOT WARRANT THAT ANY CONNECTOR WILL BE COMPATIBLE WITH ANY THIRD-PARTY SYSTEM, BROWSER, OR DEVICE, THAT IT WILL OPERATE WITHOUT INTERRUPTION OR ERROR, OR THAT ANY OUTPUT TRANSFERRED INTO, OR ACTION TAKEN WITHIN, A THIRD-PARTY SYSTEM WILL BE COMPLETE, ACCURATE, TIMELY, OR CORRECTLY PLACED.
9. Survival. The following sections of this Schedule B shall survive termination of this Schedule B: 2, 4, 5, 6, 7, 8, and the Introduction.
